Our professional terms of service are designed to support and protect you, providing clear guidelines for using our services with confidence.

1. Introduction

1.1 About These Terms

These Professional Services Terms (“Terms”) set out the standard terms and conditions under which Want SEO Ltd (“Want SEO”, “we”, “our” or “us”) provides professional digital marketing, Authority Growth and consultancy services.

These Terms are designed to establish a clear, transparent and collaborative working relationship between Want SEO Ltd and its clients. They explain how we deliver our services, how projects are managed, the responsibilities of each party and the commercial principles that govern every engagement.

Our objective is to provide clarity from the outset so that expectations are aligned and both parties can focus on achieving sustainable commercial growth.

1.2 Relationship to Other Documents

These Terms form part of every engagement undertaken by Want SEO Ltd and should be read alongside the following documents where applicable:

  • Service Level Agreement (SLA)
  • Authority Growth Implementation Plan™ (Schedule A)
  • Proposal or Quotation
  • Privacy Policy
  • Cookie Policy

Where there is any inconsistency between these documents, the order of precedence shall be:

  1. Service Level Agreement
  2. Authority Growth Implementation Plan™
  3. Proposal or Quotation
  4. Professional Services Terms

1.3 Acceptance

By signing a Service Level Agreement, accepting a proposal, instructing Want SEO Ltd to commence work or continuing to receive services after these Terms have been made available, the Client confirms acceptance of these Terms.

2. Our Services

Want SEO Ltd is an Authority Growth consultancy specialising in improving digital visibility, commercial performance and long-term online trust.

Unlike traditional SEO agencies that focus primarily on rankings, our methodology considers the wider digital ecosystem in which businesses operate. Sustainable growth requires a coordinated approach that strengthens technical performance, user experience, authority, content quality and visibility across both traditional search engines and AI-powered search platforms.

Services provided to each Client will be detailed within the Authority Growth Implementation Plan™ attached to the Service Level Agreement.

3. Our Approach

Want SEO Ltd delivers services through its proprietary Authority Growth Framework™.

Rather than treating SEO, content, UX, AI search and authority as separate disciplines, the Framework combines these elements into a single strategic methodology designed to improve the overall trust, credibility and discoverability of a business online.

As search engines and AI platforms continually evolve, our priorities may change throughout an engagement.

For this reason, the Authority Growth Implementation Plan™ should be viewed as a strategic roadmap rather than a fixed checklist.

Work will always be prioritised according to:

  • Commercial impact
  • Technical dependencies
  • Business priorities
  • Search engine developments
  • AI search developments
  • Emerging opportunities
  • Risk mitigation

This ensures our efforts remain focused on activities expected to deliver the greatest long-term value.

4. Scope of Services

The exact services to be delivered are defined within the Authority Growth Implementation Plan™ attached to the Client’s Service Level Agreement.

Unless otherwise agreed in writing, Want SEO Ltd will determine the order in which work is undertaken, applying professional judgement to prioritise activities based on commercial opportunity, technical necessity and overall business benefit.

Search engines, AI platforms and digital technologies evolve continually. Consequently, implementation priorities may change throughout an engagement where new opportunities, technical issues or algorithm updates are identified.

This adaptive approach is fundamental to the Authority Growth Framework™ and should not be interpreted as a variation to the agreed scope of services.

5. Services Excluded from the Standard Scope

5.1 Overview

Unless expressly included within the Client’s Authority Growth Implementation Plan™ or otherwise agreed in writing, the following services fall outside the standard scope of Want SEO Ltd’s Professional Services.

Where additional services are requested, Want SEO Ltd will provide a separate quotation or estimate before work commences. No additional work will be undertaken without the Client’s prior written approval.

The purpose of this section is not to limit support, but to clearly distinguish between the services included within an Authority Growth engagement and those requiring additional time, specialist resources or third-party expertise.

5.2 Website Development & Technical Services

Our Authority Growth services focus on improving the visibility, authority and commercial performance of existing websites.

Unless specifically included within the Authority Growth Implementation Plan™, the following services are excluded:

  • Complete website redesigns or rebuilds.
  • Development of new websites or microsites.
  • Custom software or web application development.
  • Bespoke functionality or plugin development.
  • Major front-end or back-end development.
  • Database design or restructuring.
  • API development or third-party integrations.
  • Ecommerce platform migrations.
  • Website migrations between hosting providers or CMS platforms.
  • Server administration.
  • DNS configuration.
  • Email server configuration.
  • Hosting management.
  • Domain management.
  • SSL certificate installation or renewal.
  • Advanced performance engineering beyond standard optimisation.

Where specialist development is required, Want SEO Ltd may either provide a separate quotation or recommend an appropriate third-party specialist.

5.3 Cybersecurity & Emergency Response

Maintaining a secure website is a shared responsibility between the Client, their hosting provider and any appointed technical specialists.

Whilst Want SEO Ltd may identify security concerns during the course of an engagement, our standard Authority Growth services do not include ongoing cybersecurity management or emergency incident response.

The following services are therefore excluded unless specifically agreed:

  • Malware removal.
  • Website recovery following hacking or compromise.
  • Penetration testing.
  • Firewall configuration.
  • Security hardening.
  • Server forensics.
  • Spam attack mitigation.
  • Ransomware recovery.
  • Data breach investigations.
  • Emergency website restoration.
  • Security monitoring.
  • Vulnerability assessments.
  • Incident response planning.

Should an unforeseen cybersecurity incident occur, Want SEO Ltd will notify the Client as soon as reasonably practicable.

Emergency work will be quoted separately or charged at the agreed consultancy rate following written approval from the Client.

5.4 Creative Services

Our consultancy focuses primarily on strategic growth rather than creative production.

Unless expressly included, the following services are excluded:

  • Logo design.
  • Brand identity development.
  • Graphic design.
  • Photography.
  • Videography.
  • Video editing.
  • Motion graphics.
  • Animation.
  • Illustration.
  • Infographics.
  • Product photography.
  • Drone photography.
  • Audio production.

Where visual assets are required, Want SEO Ltd may recommend suitable suppliers or coordinate with the Client’s appointed designers.

5.5 Marketing Services

Unless specifically included within the Authority Growth Implementation Plan™, the following marketing activities fall outside the standard engagement:

  • Paid advertising campaign management.
  • Google Ads management.
  • Microsoft Ads management.
  • Meta advertising.
  • LinkedIn advertising.
  • TikTok advertising.
  • Display advertising.
  • Advertising media spend.
  • Email marketing campaigns.
  • CRM automation.
  • SMS marketing.
  • Marketing automation.
  • Social media management.
  • Social media scheduling.
  • Community management.
  • Influencer campaigns.
  • Affiliate marketing.
  • Traditional advertising.
  • Print production.
  • Public Relations campaigns.

Want SEO Ltd may provide strategic recommendations relating to these channels where appropriate.

5.6 Content Production

Content strategy forms an important part of the Authority Growth Framework™.

However, unless specifically included within the Authority Growth Implementation Plan™, the following services are excluded:

  • Copywriting beyond the agreed monthly allocation.
  • Product data entry.
  • Catalogue population.
  • Translation services.
  • Multilingual content creation.
  • Legal review of content.
  • Industry compliance review.
  • Independent fact-checking.
  • Editorial services beyond agreed deliverables.

5.7 Third-Party Products & Licensing

Unless otherwise agreed, the Client remains responsible for all third-party costs associated with delivering the project.

These may include, but are not limited to:

  • Website hosting.
  • Domain registrations.
  • SSL certificates.
  • Premium plugins.
  • Software licences.
  • SaaS subscriptions.
  • AI platform subscriptions.
  • Premium SEO tools.
  • Stock photography.
  • Stock video.
  • Commercial fonts.
  • Premium themes.
  • CDN services.
  • Developer licences.
  • API usage fees.

Where Want SEO Ltd purchases licences on behalf of the Client, these will either be recharged at cost or invoiced separately.

5.8 Additional Consultancy

Services requested outside the agreed Authority Growth Implementation Plan™ shall be treated as Additional Consultancy.

Examples include:

  • Additional websites.
  • Additional brands.
  • New business ventures.
  • Consultancy meetings beyond the agreed allocation.
  • Training workshops.
  • Team training.
  • Conference attendance.
  • Speaking engagements.
  • On-site consultancy.
  • Emergency support.
  • Business strategy sessions.

Such work will be quoted separately and charged in accordance with the consultancy rates agreed with the Client.

5.9 Changes to Scope

Projects naturally evolve as new opportunities are identified.

Where the Client requests work that materially changes the agreed scope, Want SEO Ltd will discuss the implications with the Client before proceeding.

This may include:

  • revised timescales;
  • amended consultancy allocation;
  • additional fees;
  • updated deliverables; or
  • a revised Authority Growth Implementation Plan™.

No material variation to the agreed scope will be implemented without the Client’s approval.

6. Professional Fees & Commercial Terms

6.1 Commercial Principles

Every engagement with Want SEO Ltd is tailored to the Client’s business objectives, commercial priorities and implementation requirements.

Unless otherwise stated within the Authority Growth Implementation Plan™, fees are based upon the professional time, expertise and specialist resources required to deliver the agreed services.

The Client acknowledges that Authority Growth is an ongoing strategic investment rather than a fixed deliverable. Fees therefore reflect the continuous research, implementation, monitoring, optimisation and strategic support required throughout the engagement.

6.2 Consultancy Rates

Want SEO Ltd provides access to consultants and specialists with varying levels of expertise.

The following standard consultancy rates apply unless otherwise agreed in writing.

6.3 Monthly Consultancy Retainers

Where services are provided under a monthly consultancy agreement, the monthly investment and consultancy allocation will be detailed within the Authority Growth Implementation Plan™.

Monthly consultancy typically includes a combination of:

  • Technical implementation.
  • Authority Growth activities.
  • Content optimisation.
  • User experience improvements.
  • AI search optimisation.
  • Strategic planning.
  • Reporting.
  • Ongoing consultation.

The exact allocation of consultancy time will vary according to the agreed monthly priorities.

6.4 Project Fees

For one-off projects, a fixed project fee may be agreed prior to commencement.

Unless otherwise stated, project fees are based upon the agreed scope of work and assume timely access, approvals and information from the Client.

Should the project scope materially change following commencement, Want SEO Ltd reserves the right to provide a revised quotation before undertaking the additional work.

6.5 Billing Frequency

Unless otherwise agreed in writing, invoices will be issued in accordance with one of the following arrangements:

  • Monthly consultancy retainers are invoiced monthly in advance.
  • One-off consultancy is invoiced upon completion or at agreed milestones.
  • Project work may be invoiced in stages where appropriate.
  • Additional consultancy is invoiced monthly in arrears unless otherwise agreed.

The billing schedule applicable to each engagement will be confirmed within the Authority Growth Implementation Plan™.

6.6 Payment Terms

Invoices are payable within seven (7) calendar days of the invoice date unless alternative terms have been agreed in writing.

Payment should be made using the payment methods detailed on the invoice.

Where payment is not received by the due date, Want SEO Ltd reserves the right to:

  • Suspend ongoing work.
  • Delay future consultancy allocations.
  • Withhold delivery of completed work.
  • Charge statutory interest and recovery costs where permitted by law.

Any suspension of services resulting from unpaid invoices shall not extend agreed project deadlines or reduce the Client’s financial obligations.

6.7 Value Added Tax (VAT)

All fees quoted by Want SEO Ltd are exclusive of Value Added Tax (VAT) unless expressly stated otherwise.

VAT will be charged at the prevailing rate where applicable.

6.8 Expenses

Reasonable third-party expenses incurred specifically for the Client’s project may be recharged where agreed in advance.

Examples include:

  • Stock imagery.
  • Premium software licences.
  • Premium plugins.
  • Travel expenses.
  • Accommodation.
  • Conference attendance.
  • Printing.
  • Specialist subcontractors.

No such costs will be incurred without the Client’s prior approval.

6.9 Initial Growth Phase

Authority Growth is a cumulative process that depends upon consistency, continuous implementation and regular optimisation.

For this reason, all new consultancy engagements commence with an Initial Growth Phase.

Unless otherwise agreed in writing, the Initial Growth Phase consists of:

  • A minimum engagement period of four (4) months.
  • A minimum allocation of four (4) consultancy days per calendar month.
  • Monthly strategic reviews.
  • Ongoing performance monitoring.
  • Quarterly KPI review.

This period allows sufficient time to:

  • Complete research and discovery.
  • Implement technical improvements.
  • Publish strategic content.
  • Improve website authority.
  • Measure meaningful commercial performance.
  • Allow search engines and AI platforms to process and evaluate the implemented changes.

6.10 Reserved Consultancy Time

Consultancy time is reserved specifically for each Client to ensure continuity, responsiveness and consistent delivery.

Unused consultancy time cannot normally be carried forward into subsequent months unless otherwise agreed in writing.

Where implementation is delayed due to outstanding approvals, unavailable access or other Client-side dependencies, Want SEO Ltd will make reasonable efforts to reallocate the reserved time where practical. However, reserved consultancy time remains chargeable in accordance with the agreed monthly investment.

6.11 Price Reviews

Want SEO Ltd reserves the right to review its consultancy rates periodically.

Any proposed change to the agreed monthly investment will be discussed with the Client in advance and will normally take effect no earlier than thirty (30) days after written notice has been provided.

Price reviews may reflect changes, including, but not limited to:

  • Expansion of the agreed scope.
  • Additional consultancy requirements.
  • Inflationary pressures.
  • Increased third-party costs.
  • Changes to specialist resource requirements.
  • Significant changes in the Client’s business objectives.

6.12 Commercial Relationship

The Authority Growth Framework™ is designed to build sustainable commercial growth over time.

Both parties acknowledge that the greatest value is achieved through a collaborative, long-term relationship in which technical improvements, content development, authority building and strategic optimisation work together to strengthen the Client’s online presence and commercial performance.

7. Working Relationship & Service Standards

7.1 Our Working Relationship

Successful Authority Growth relies upon collaboration, transparency and timely decision-making.

Want SEO Ltd works as an extension of the Client’s business, providing strategic guidance, technical implementation and ongoing optimisation in accordance with the agreed Authority Growth Implementation Plan™.

Both parties agree to work openly, professionally and in good faith throughout the engagement to achieve the agreed commercial objectives.

Our approach is based on continuous improvement rather than one-off implementation. Priorities will evolve throughout the engagement as technical findings emerge, search technologies develop and commercial opportunities change.

7.2 Communication Standards

Clear and timely communication is essential to maintaining project momentum.

Unless otherwise agreed, Want SEO Ltd aims to achieve the following service standards during normal business hours.

All ongoing consultancy work will be managed using the Want SEO Production Board or another agreed project management system.

The Production Board provides visibility of:

  • Tasks in progress
  • Planned implementation
  • Outstanding approvals
  • Project milestones

Where the Client has been granted access, the Production Board will act as the primary reference point for project progress.

7.4 Delivery Standards

Want SEO Ltd follows a structured delivery methodology designed to maximise transparency, accountability and commercial impact.

Our standard delivery principles include:

Weekly Project Visibility

The Production Board will be updated regularly to provide visibility of completed work, work in progress and planned activities.

Monthly Prioritisation

At the beginning of each reporting period, implementation priorities will be reviewed and agreed based upon:

  • Commercial opportunity
  • Technical requirements
  • Business objectives
  • Available consultancy allocation
  • Emerging opportunities

Priorities may change where urgent issues or new opportunities arise.

Documented Implementation

Significant recommendations, implementation activities and completed deliverables will be recorded within the Production Board or supporting documentation.

This ensures both parties maintain a clear record of project progress.

Continuous Prioritisation

Rather than working through tasks in chronological order, Want SEO Ltd continually prioritises work according to expected commercial impact.

This allows consultancy time to be invested where it is expected to generate the greatest value for the Client.

7.5 Client Responsibilities

The success of any Authority Growth engagement depends upon timely collaboration between both parties.

The Client agrees to:

  • Provide timely access to websites, CMS platforms, analytics tools and hosting environments.
  • Supply brand assets, imagery and supporting information where required.
  • Review recommendations and implementation requests within a reasonable timeframe.
  • Nominate appropriate decision-makers.
  • Notify Want SEO Ltd of significant business, website or organisational changes.
  • Ensure that third-party suppliers cooperate where their involvement is necessary.
  • Make payments in accordance with the agreed payment terms.

Delays in providing access, approvals or required information may affect project timescales.

7.7 Working Protocols

To ensure efficient project delivery, the following operational protocols apply throughout the engagement.

Change Requests

Where the Client requests services outside the agreed Authority Growth Implementation Plan™, Want SEO Ltd will assess the request and advise whether additional consultancy time, revised priorities or additional fees are required.

No material change to the agreed scope will be implemented without the Client’s approval.

Prioritisation

Work will be prioritised according to commercial benefit rather than the chronological order in which requests are received.

This enables consultancy time to be directed towards activities expected to generate the greatest return on investment.

Dependencies

Delivery is dependent upon timely access to systems, stakeholders, approvals and third-party suppliers.

Where these dependencies are delayed, project timescales may be revised accordingly.

Third-Party Suppliers

Want SEO Ltd frequently works alongside website developers, hosting providers, software vendors, creative agencies and internal teams.

Whilst every effort will be made to coordinate these activities, Want SEO Ltd cannot accept responsibility for delays, errors or performance issues arising from the actions or omissions of third parties.

Emergency Issues

Where significant technical issues, website failures or cybersecurity incidents arise during an engagement, Want SEO Ltd will notify the Client as soon as reasonably practicable.

Emergency work falling outside the agreed Authority Growth Implementation Plan™ may require a separate quotation or additional consultancy allocation before implementation.

Good Faith

Both parties agree to work collaboratively, professionally and respectfully throughout the engagement.

Issues affecting delivery should be communicated promptly so that appropriate solutions can be identified and implemented.

8. Performance Expectations & Commercial Outcomes

8.1 Our Commitment

Want SEO Ltd is committed to delivering professional services with reasonable skill, care and diligence, applying recognised industry best practices across technical SEO, Authority Growth, AI Search Optimisation, content strategy and digital marketing.

Our objective is to strengthen the Client’s long-term online visibility, credibility and commercial performance through continuous improvement rather than short-term optimisation techniques.

Every engagement is guided by the Authority Growth Framework™, ensuring implementation remains focused on sustainable growth rather than isolated ranking improvements.

8.2 Measuring Success

Authority Growth is measured through continuous improvement across multiple performance indicators rather than any single metric.

Depending upon the agreed objectives, progress may be evaluated using a combination of:

  • Organic website traffic
  • Search engine visibility
  • AI search visibility
  • Keyword rankings
  • Brand search demand
  • Conversion rates
  • Qualified enquiries
  • Lead generation
  • Organic revenue

Not every metric will apply to every engagement. The specific Key Performance Indicators (KPIs) applicable to each Client will be documented within the Authority Growth Implementation Plan™.

8.3 Commercial Objectives

Whilst every Client’s objectives are different, our services are generally designed to improve the likelihood of achieving:

Whilst Want SEO Ltd will always apply recognised best practice and professional expertise, no guarantee can be given regarding specific commercial outcomes.

In particular, Want SEO Ltd does not guarantee:

  • First-page rankings.
  • Specific keyword positions.
  • Traffic increases.
  • Lead volumes.
  • Revenue growth.
  • AI search visibility.
  • Search engine indexation.
  • Featured snippets.
  • AI-generated citations.
  • Business profitability.

Search performance is influenced by numerous external factors beyond Want SEO Ltd’s reasonable control.

These include, but are not limited to:

  • Search engine algorithm updates.
  • AI platform changes.
  • Competitor activity.
  • Market conditions.
  • Industry trends.
  • Seasonal demand.
  • Website history.
  • Existing authority.
  • Technical limitations.
  • Third-party platforms.
  • Client implementation decisions.

8.6 Shared Responsibility

The success of any Authority Growth engagement depends upon collaboration between Want SEO Ltd and the Client.

The Client acknowledges that sustainable growth requires:

  • Timely approvals.
  • Ongoing implementation.
  • Consistent investment.
  • Access to relevant systems.
  • Availability of key stakeholders.
  • High-quality products and services.
  • Competitive market positioning.
  • Commitment to continuous improvement.

Where implementation is delayed or recommendations are not adopted, expected performance may be affected.

8.7 Benchmarking & Reporting

Where appropriate, Want SEO Ltd will establish benchmark metrics at the commencement of an engagement.

Progress may then be reviewed through agreed reporting periods to demonstrate changes over time.

The Client acknowledges that improvements in online trust, search visibility and AI discoverability typically result from the cumulative effect of consistent technical improvements, high-quality content, authoritative signals and positive user experience over an extended period.

The Authority Growth Framework™ has therefore been designed as a long-term methodology that compounds value over time rather than relying on isolated optimisation activities.

9. Ownership, Confidentiality & Marketing Rights

9.1 Ownership of Deliverables

Upon receipt of full payment for all invoices relating to the agreed services, ownership of all final project-specific deliverables created exclusively for the Client shall transfer to the Client.

This includes any completed work specifically commissioned as part of the Authority Growth Implementation Plan™.

Subject to payment in full, the Client may use, modify, distribute and further develop these deliverables without restriction for its own business purposes.

Ownership does not extend to Want SEO Ltd’s proprietary methodologies, frameworks, templates, systems or intellectual property developed independently of the engagement.

9.2 Client Intellectual Property

The Client retains ownership of all intellectual property, trademarks, branding, logos, products, content and materials supplied to Want SEO Ltd during the course of the engagement.

Nothing within these Terms transfers ownership of the Client’s existing intellectual property to Want SEO Ltd.

The Client grants Want SEO Ltd a non-exclusive licence to use such materials solely for the purpose of delivering the agreed services.

9.3 Want SEO Intellectual Property

Want SEO Ltd retains all rights, title and interest in its existing and future intellectual property, whether developed before, during or after the engagement.

This includes, but is not limited to:

  • The Authority Growth Framework™
  • Proprietary methodologies and implementation processes
  • Research methodologies
  • Strategic frameworks
  • Templates
  • Checklists
  • Standard Operating Procedures (SOPs)
  • Internal documentation
  • Production Board systems
  • Workflow processes
  • Reporting templates
  • Dashboard frameworks
  • AI workflows
  • Prompt libraries
  • Automation systems
  • Reusable code libraries
  • Scripts
  • Diagnostic tools
  • Audit frameworks
  • Educational resources
  • Training materials
  • Internal software and utilities

Nothing within this Agreement grants ownership of these materials to the Client.

9.4 Confidential Information

Throughout the course of the engagement, both parties may have access to confidential, commercially sensitive or proprietary information belonging to the other.

Each party agrees to:

  • treat such information as confidential;
  • use it solely for the purposes of fulfilling this engagement;
  • protect it using reasonable security measures; and
  • not disclose it to any third party without prior written consent unless required by law.

Confidential information includes, but is not limited to:

  • business strategies;
  • financial information;
  • customer data;
  • supplier information;
  • pricing;
  • technical documentation;
  • website analytics;
  • SEO research;
  • Authority Growth documentation;
  • login credentials;
  • source material;
  • proprietary methodologies; and
  • any information that would reasonably be considered confidential.

These obligations continue for a period of three (3) years following termination of the engagement.

9.5 Data & Account Ownership

The Client remains the legal owner of:

  • Website content
  • Domain names
  • Hosting accounts
  • Analytics accounts
  • Google Search Console
  • Google Ads
  • Social media accounts
  • CRM platforms
  • Customer databases
  • Email marketing platforms

Unless otherwise agreed in writing, Want SEO Ltd will request administrative access only where required to deliver the agreed services.

Upon termination of the engagement, Want SEO Ltd will return or remove its access within a reasonable period following the Client’s request.

9.6 Portfolio Rights

Want SEO Ltd is proud of the work delivered on behalf of its clients and may wish to reference completed projects within its professional portfolio.

Unless otherwise agreed in writing, Want SEO Ltd may reference:

  • the Client’s trading name;
  • publicly available website screenshots;
  • publicly available branding;
  • publicly available project information; and
  • general descriptions of the services provided.

No confidential or commercially sensitive information will be disclosed without the Client’s prior written approval.

9.7 Case Studies & Marketing

Subject to the Client’s approval where required, Want SEO Ltd may prepare case studies demonstrating the outcomes achieved during the engagement.

These may include:

  • improvements in search visibility;
  • organic traffic growth;
  • authority improvements;
  • keyword performance;
  • AI search visibility;
  • conversion improvements;
  • commercial growth trends;
  • completed project summaries;
  • implementation methodology;
  • before and after comparisons; and
  • lessons learned throughout the engagement.

Where practical, commercially sensitive information will be anonymised or presented as percentage improvements rather than absolute figures.

9.8 Testimonials

Want SEO Ltd may invite the Client to provide written or video testimonials following successful completion of agreed work.

Unless otherwise agreed, any testimonial voluntarily provided may be used within:

  • the Want SEO website;
  • proposals;
  • presentations;
  • social media;
  • marketing campaigns;
  • Authority Growth Framework™ materials; and
  • other promotional activities.

The Client may withdraw consent for future use at any time by providing written notice.

Such withdrawal shall not require Want SEO Ltd to amend or remove materials already published before notice was received.

9.9 Client Approval

Where marketing material includes:

  • confidential information;
  • non-public commercial performance;
  • financial information;
  • internal business processes; or
  • information not otherwise publicly available,

Want SEO Ltd will seek the Client’s written approval before publication.

Such approval shall not be unreasonably withheld where the information is accurate, fairly represented and does not prejudice the Client’s commercial interests.

9.10 Respect for Reputation

Both parties acknowledge the importance of maintaining their professional reputation.

Neither party shall knowingly publish false, misleading or defamatory statements relating to the other.

Any concerns regarding published material should first be discussed in good faith with the intention of resolving the matter promptly and amicably.

10. Suspension, Termination & Legal Provisions

10.1 Suspension of Services

Want SEO Ltd reserves the right to suspend all or part of the agreed services where continued delivery is not reasonably possible or appropriate.

This may include, but is not limited to:

  • overdue invoices;
  • repeated failure to provide required access or approvals;
  • breach of these Professional Services Terms;
  • abusive, threatening or inappropriate behaviour towards Want SEO Ltd personnel; or
  • circumstances where continuing the engagement would place Want SEO Ltd at unreasonable commercial, legal or reputational risk.

Where practical, Want SEO Ltd will provide reasonable notice before suspending services and will work with the Client to resolve the issue promptly.

Suspension of services does not remove the Client’s obligation to pay any outstanding invoices or fees due under the Agreement.

10.2 Termination

Either party may terminate an ongoing engagement by providing not less than thirty (30) calendar days’ written notice, unless otherwise agreed within the Service Level Agreement.

The notice period allows for:

  • completion of agreed work already in progress;
  • preparation of implementation documentation;
  • orderly handover of project information;
  • removal of system access where appropriate; and
  • final invoicing.

Where a minimum Initial Growth Phase has been agreed, termination may not take effect before completion of that initial commitment unless otherwise agreed in writing.

10.3 Pausing an Engagement

Authority Growth relies upon consistency.

Interrupting implementation can reduce momentum, delay performance improvements and affect long-term commercial outcomes.

Should the Client request that work be paused:

  • reserved consultancy time during the agreed notice period remains chargeable;
  • consultancy resources cannot be guaranteed upon recommencement;
  • implementation priorities may require reassessment; and
  • a new discovery or planning phase may be recommended before work resumes.

Where practical, Want SEO Ltd will work collaboratively with the Client to minimise disruption.

10.4 Outstanding Payments

Termination or suspension of an engagement shall not affect the Client’s obligation to pay:

  • outstanding invoices;
  • agreed monthly consultancy fees;
  • authorised additional consultancy;
  • approved third-party costs; or
  • expenses already incurred on the Client’s behalf.

All outstanding sums remain payable in accordance with the agreed payment terms.

10.5 Third-Party Platforms

Want SEO Ltd provides services across a range of third-party platforms, including, but not limited to:

  • Google
  • Microsoft
  • Shopify
  • WordPress
  • HubSpot
  • Meta
  • LinkedIn
  • Cloudflare
  • hosting providers
  • analytics platforms
  • AI search platforms

These platforms remain independent organisations over which Want SEO Ltd has no control.

Accordingly, Want SEO Ltd accepts no responsibility for:

  • platform outages;
  • algorithm changes;
  • API changes;
  • account suspensions;
  • software bugs;
  • hosting failures;
  • third-party service interruptions; or
  • policy changes affecting performance.

10.6 Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations where such delay results from events beyond its reasonable control.

Examples include:

  • natural disasters;
  • severe weather;
  • acts of government;
  • terrorism;
  • war;
  • industrial disputes;
  • internet failures;
  • power outages;
  • cyber attacks affecting infrastructure;
  • widespread software outages; or
  • any other event that could not reasonably have been anticipated or prevented.

Where such circumstances continue for more than thirty (30) consecutive days, both parties agree to discuss the future of the engagement in good faith.

10.7 Privacy & Data Protection

Both parties agree to comply with all applicable data protection legislation, including:

  • UK General Data Protection Regulation (UK GDPR);
  • Data Protection Act 2018; and
  • any subsequent legislation replacing or amending those laws.

Where Want SEO Ltd processes personal information on behalf of the Client, it shall do so solely for the purpose of delivering the agreed services and will implement reasonable technical and organisational measures to safeguard that information.

The Client remains the Data Controller for its own data unless expressly agreed otherwise in writing.

10.8 Limitation of Liability

Want SEO Ltd will exercise reasonable skill, care and professional diligence in providing the agreed services.

However, to the fullest extent permitted by law, Want SEO Ltd shall not be liable for indirect, consequential or incidental losses, including but not limited to:

  • loss of profit;
  • loss of revenue;
  • loss of business opportunity;
  • loss of goodwill;
  • loss of anticipated savings;
  • loss of data; or
  • business interruption.

Nothing within these Terms limits or excludes liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation; or
  • any liability that cannot lawfully be excluded under the laws of England and Wales.

10.9 Governing Law

These Professional Services Terms, together with the associated Service Level Agreement and Authority Growth Implementation Plan™, shall be governed by and interpreted in accordance with the laws of England and Wales.

Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10.10 Entire Agreement

The Service Level Agreement, Authority Growth Implementation Plan™, Professional Services Terms and any agreed Proposal or Quotation together constitute the entire agreement between Want SEO Ltd and the Client.

They replace all previous discussions, correspondence, representations and agreements relating to the services provided.

10.11 Amendments

No amendment to the Service Level Agreement, Authority Growth Implementation Plan™ or these Professional Services Terms shall be valid unless agreed in writing by both parties.

Want SEO Ltd may update these Professional Services Terms from time to time to reflect changes in legislation, professional practice or business operations.

Updated Terms will apply only to future engagements unless otherwise agreed.

10.12 Severability

If any provision of these Professional Services Terms is found to be unlawful, invalid or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed without affecting the validity or enforceability of the remaining provisions.

10.13 Waiver

Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that provision or of any subsequent breach.

10.14 Good Faith

Both parties acknowledge that successful Authority Growth depends upon openness, trust and collaboration.

Accordingly, Want SEO Ltd and the Client agree to act honestly, reasonably and in good faith throughout the engagement, seeking to resolve any issues through constructive discussion before pursuing formal dispute resolution wherever reasonably possible.
